ROMGAZ BLACK SEA LIMITED

ROMGAZ BLACK SEA LIMITED, an affiliate of National Gas Company „Romgaz” S.A. („ROMGAZ”), holds 50% of rights and obligations from Concession Agreement for exploration, development and production in XIX Neptun Deepwater Block, from Black Sea, Romania (” Neptun Deep”).

S.N.G.N. ROMGAZ S.A.  is the sole member of ROMGAZ BLACK SEA LIMITED starting with August 1st, 2022, when completed the transaction with ExxonMobil for all shares issued by ExxonMobil Exploration and Production Romania Limited (formerly name of ROMGAZ BLACK SEA LIMITED).

ROMGAZ’s Group is formed by S.N.G.N. Romgaz S.A as the parent Company, and its fully own affiliated companies:

• S.N.G.N. ROMGAZ S.A. - Natural Gas Storage Ploiesti (“Depogaz”), with registered office in Ploiesti, Romania, Street Ghe. Grigore Cantacuzino no. 184, 100492, Prahova county;
• ROMGAZ BLACK SEA LIMITED (“RBSL”), an international business company organized and existing under the laws of the Commonwealth of the Bahamas, with registerd no.154020B, acting exclusively through its Romanian branch, ROMGAZ BLACK SEA LIMITED NASSAU (BAHAMAS) SUCURSALA BUCURESTI (”RBSL Branch”), registered at Bucharest Trade Register with no.J2008017387404, Identification Code 24593762, with its office in Bucharest, District 1, Calea Floreasca, no. 169A, Building B, Rooms NR.801-834, 801A, 803A, 803B, 832A, floor 8,

undertakes geological exploration with the aim of discovering new gas reserves, produces gas by exploiting the commercial fields included in the company’s portfolio and stores natural gas in underground storages, performs well interventions, workover and special operations, and ensures technological transportation professional services. In 2013, ROMGAZ extended its scope of work by taking over Iernut thermoelectric power plant, becoming electricity producer and supplier. On August 1, 2022, ROMGAZ became sole shareholder of ROMGAZ BLACK SEA LIMITED (formerly ExxonMobil Exploration and Production Romania Limited) and extended its business in offshore upstream segment in the Black Sea, within Neptun Deep where are ongoing exploration and development activities. Neptun Deep project aims to exploit natural gas discovered in the Black Sea, through the development of two confirmed natural gas fields (Domino and Pelican Sud). Exploration activity within the Neptun Deep perimeter is ongoing, with the objective of further identifying and evaluating the energy potential of the Black Sea.

With a history of more than 100 years, ROMGAZ has extensive experience in the field of natural gas exploration and production, becoming the largest producer and main supplier of natural gas in Romania.

S.N.G.N. Romgaz S.A. is admitted to trading on the Bucharest Stock Exchange (BVB). The main shareholder is the Romanian state with a 70% stake.
