2017 Additional Dividends
On October 20, 2017, based on Articles II and III of EGO no. 29/2017, the General Meeting of Shareholders approved the distribution of additional dividends to the company’s shareholders proportionately with their participation to the company’s share capital. The additional gross dividends shall be distributed from the company’s reserves representing own sources of finance.
Information regarding the dividends:
· The value of the gross additional dividend is 1.94 RON/share; applicable withholding tax payable will be deducted prior to payment, at the legal rate. According to the Romanian Fiscal Code, the standard tax rate applicable to the dividends is 5%;
· The payment of net additional dividend will start on November 29, 2017 (Payment Day) and continues for a period of 3 years; the deadline for payment is December 2, 2020;
· Romgaz shareholders registered in the Shareholders Registry (kept by Depozitarul Central) on the Record Date November 8, 2017 are entitled to receiving additional dividends;
· „Ex-date”, the date as of which the financial instruments are traded without the right to receive dividends, is November 7, 2017.
Dividends are paid in RON via Depozitarul Central S.A. and the Payment Agent BRD – Groupe Societe Generale S.A.
Romgaz shall bear the banking fees of Depozitarul Central and BRD in connection with the payment in RON of the net additional dividends.
ADDITIONAL DIVIDEND PAYMENT METHODS:
A. For individuals/legal entities/other entities having accounts opened with a PARTICIPANT (Broker/Custodian Bank)
→ through Participants in the clearing – settlement and registry system of Depozitarul Central S.A.
B. For individuals/legal entities/other entities not having accounts opened with the PARTICIPANT (Broker/Custodian Bank)
B.1. Through BANK TRANSFER in compliance with the requests sent directly to Depozitarul Central S.A.
B.2. Through the PAYMENT AGENT BRD - Groupe Societe Generale S.A:.
→ In CASH – exclusively for individuals;
→ Through BANK TRANSFER – for individuals/legal entities/other entities
